Corporate Governance

Brockman’s Corporate Governance policies have been formulated to ensure that it is a responsible corporate citizen. The Board is responsible to shareholders for the overall Corporate Governance of the Brockman group, including its strategic direction, establishing goals for management and monitoring the achievement of those goals in a way which ensures that the interests of the shareholders and stakeholders are promoted and protected.

The responsibility for the operation and administration of the consolidated entity is delegated by the Board to the chief executive officer and the executive team. The Board ensures that this team is appropriately qualified and experienced to discharge their responsibilities and has in place procedures to assess the performance of the chief executive and executive team.

The Company supports the principles outlined in the ASX Corporate Governance Council's Principles of Good Corporate Governance and Best Practice Recommendations, however wish to advise that there are instances when compliance has been deemed cost prohibitive for a company the size of Brockman.

The following summarises the practices we have adopted. It is structured along the same lines as the Council's guidelines, with sections dealing in turn with each of the Council's ten corporate governance principles. The various codes, policies and charters referred to in the corporate governance statement are all posted on this site.
